These Terms & Conditions ("Terms") govern your access to and use of https://www.semzie.com ("Website") and the digital marketing services offered under the Semzie brand by Chadwick Systems LTD ("we", "us", "our").

By using our Website or purchasing/engaging our services, you agree to these Terms. If you do not agree, do not use the Website or services.

1. ABOUT SEMZIE

Semzie provides digital marketing and related consulting services, which may include:

Social media marketing
Search engine optimization (SEO)
Paid advertising (including PPC / SEM)
Funnel optimization
Advanced analytics
Content marketing
Other related services agreed in writing

2. WHO MAY USE OUR SERVICES

Our services are intended for businesses and individuals aged 18 or over with legal capacity to enter into contracts.If you use our services on behalf of a company, you confirm you have authority to bind that company to these Terms.

3. WEBSITE USE

You agree to use the Website only for lawful purposes and in a way that does not:

Infringe others' rights
Interfere with the Website's operation
Attempt unauthorised access to systems, data, or accounts
Introduce malware or harmful code
Misrepresent your identity or affiliation

We may suspend or restrict access to the Website at any time for maintenance, security, or operational reasons.

4. ENQUIRIES AND PROPOSALS

Submitting a contact form or enquiry does not create a binding service contract.Any proposal, quote, scope of work, statement of work, or service agreement we issue may set out fees, timelines, deliverables, and special terms. If those documents conflict with these Terms, the signed service agreement / statement of work prevails for that engagement.

5. SERVICE AGREEMENTS

Where you engage Semzie:

Services will be described in a written proposal, invoice, order confirmation, or contract
You agree to provide timely access, materials, approvals, and information reasonably needed for delivery
Delays caused by missing information, late approvals, or third-party platform issues may affect timelines
We may use subcontractors or specialists under our responsibility

6. FEES AND PAYMENT

Unless otherwise agreed in writing:

Fees are as stated in your proposal, invoice, or contract
Payments are due according to the stated payment terms
Late payments may result in suspension of services until amounts due are paid
You are responsible for applicable taxes unless stated otherwise
Advertising media spend (for example Google Ads or Meta Ads budgets) is usually paid directly to the platform or billed separately, and is not included in Semzie service fees unless expressly stated

7. CLIENT RESPONSIBILITIES

You are responsible for:

Accuracy of information, brand assets, and claims you provide
Compliance of your products/services and advertising with applicable laws
Access to accounts (ads, analytics, social, CMS, etc.) needed for the work
Final approval of creatives, landing pages, and campaigns before launch
Maintaining your own platform accounts and billing with third-party providers

8. RESULTS AND NO GUARANTEE

Digital marketing involves many variables outside our control (competition, algorithms, budgets, seasonality, market conditions, platform policies).

Unless expressly guaranteed in a signed agreement:

We do not guarantee specific rankings, traffic levels, leads, sales, ROAS, or other performance outcomes
Past performance does not guarantee future results
We will use reasonable professional skill and care in delivering services

9. INTELLECTUAL PROPERTY

a) Our materials
Website content, Semzie branding, templates, methodologies, and pre-existing tools remain our intellectual property (or our licensors').

b) Deliverables
Unless otherwise agreed in writing, upon full payment, you receive a licence to use deliverables created specifically for you for your business purposes. We retain ownership of underlying frameworks, know-how, and reusable components.

c) Your materials
You retain ownership of materials you provide to us and grant us a licence to use them as needed to deliver the services.

10. CONFIDENTIALITY

Each party agrees to keep confidential information received from the other reasonably secure and not disclose it except:

To personnel/contractors who need it to perform the engagement
As required by law
Where the information is already public through no fault of the receiving party

11. PRIVACY

Our handling of personal data is described in our Privacy Policy. By using the Website or services, you also acknowledge that Policy.

12. THIRD-PARTY PLATFORMS

Services may rely on third-party platforms (Google, Meta, analytics tools, hosting, etc.). Those platforms have their own terms and policies. We are not responsible for outages, policy changes, account suspensions, or actions taken by third parties.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law:

We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill
Our total aggregate liability arising out of or relating to the Website or services is limited to the fees you paid us for the specific services giving rise to the claim during the three (3) months preceding the claim

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (including liability for fraud or death/personal injury caused by negligence, where such rules apply).

14. INDEMNITY

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from:

Your misuse of the Website or services
Your content, products, advertising claims, or instructions
Your breach of these Terms or applicable law

15. TERMINATION

Either party may terminate an engagement according to the applicable service agreement.

We may suspend or terminate services immediately if:

You materially breach these Terms or a service agreement
Payment is overdue
Continuing would violate law or platform policies

On termination, you remain responsible for fees owed for work performed and non-cancellable commitments already made with your approval.

16. CHANGES TO THESE TERMS

We may update these Terms from time to time by posting a revised version on the Website. The "Last updated" date will change accordingly. Continued use after changes constitutes acceptance of the updated Terms, except where a signed contract requires different amendment procedures.

17. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Republic of Cyprus.Courts of Cyprus shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, unless mandatory consumer protections provide otherwise.
